Terms of Use

These Terms govern your use of the Meal Simple app, mealsimple.app, support service, content, and meal guides provided by AKW Ventures, LLC.

1. Agreement and eligibility

By downloading, accessing, or using Meal Simple (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. You must be legally capable of entering into this agreement. If you use the Service for another person or organization, you represent that you have authority to accept these Terms for them.

2. License to use Meal Simple

Subject to these Terms, AKW grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, revocable license to use Meal Simple for lawful, noncommercial meal planning on devices you own or control. The app is licensed, not sold. Your use of an app obtained from Apple is also subject to Apple's applicable usage rules and Standard Licensed Application End User License Agreement. These Terms supplement those terms as between you and AKW.

3. Meal-planning information—not professional advice

Meal Simple provides general recipes, meal-planning suggestions, grocery information, cooking timelines, estimated nutrition information, and related content for informational purposes. It is not medical, dietary, allergy, nutrition, or other professional advice and is not a substitute for advice from a physician, registered dietitian, allergist, or other qualified professional.

Calorie and other nutrition estimates may be calculated from standard ingredient data, assumed quantities, serving sizes, and preparation methods. Actual values vary with brands, substitutions, portions, trimming, cooking methods, and other factors. Do not rely on estimates for medical treatment or as exact nutrition facts.

4. Allergies, dietary preferences, and food safety

Ingredient data, filters, allergen labels, substitutions, and dietary tags may be incomplete or affected by product changes, shared facilities, cross-contact, or preparation choices. Always inspect ingredient labels and determine whether a meal is appropriate for you and anyone you serve. If an allergy, intolerance, pregnancy, health condition, or medical dietary requirement is involved, consult a qualified professional and do not rely solely on Meal Simple.

You are responsible for safe ingredient handling, storage, thawing, preparation, cooking temperatures, cross-contamination prevention, and leftovers. Follow current government food-safety guidance, manufacturer instructions, and use a reliable food thermometer where appropriate.

5. Cooking conditions and substitutions

Appliances, cookware, ingredient sizes, elevations, and kitchen conditions vary. Cooking times and timelines are estimates. Monitor food while cooking and adjust as needed. You are responsible for operating appliances safely and for the results of substitutions, serving-size changes, or departures from the provided instructions.

6. Acceptable use

You may not:

• use the Service unlawfully or in a way that harms others;
• interfere with, disrupt, damage, or bypass the security of the Service;
• use automated means to scrape, harvest, or extract substantial portions of the Service;
• copy, modify, reverse engineer, decompile, or create derivative works of the app except where applicable law expressly permits it;
• remove copyright, trademark, or proprietary notices; or
• resell, republish, distribute, or commercially exploit Meal Simple content without our written permission.

7. Ownership and personal-use printing

AKW and its licensors own Meal Simple, including its software, designs, text, meal compilations, images, graphics, branding, and other content. These Terms do not transfer any ownership rights to you. You may print, save, and share individual meal guides with members of your household for personal, noncommercial use. Any broader republication, distribution, or commercial use requires prior written permission.

8. Feedback

We welcome feedback and ideas, but do not submit confidential or proprietary information through support. Unless we agree otherwise in writing, you grant AKW a perpetual, worldwide, royalty-free right to use, reproduce, modify, and incorporate feedback you voluntarily provide without restriction or compensation to you.

9. Third-party services

The Service may link to or interact with Apple, printing and sharing tools, websites, or other third-party services. AKW does not control and is not responsible for third-party services, content, availability, security, or practices. Your use of them is governed by their own terms and policies.

10. Changes and availability

We may add, change, suspend, or discontinue content or features, and may issue updates needed for security, compatibility, or operation. We do not promise that the Service or any particular meal, feature, or device compatibility will remain available. We may update these Terms by posting a revised version and changing the effective date. Your continued use after an update means you accept the revised Terms to the extent permitted by law.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. AKW AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE COMPLETE, ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY MEAL, TIMELINE, INGREDIENT, DIETARY TAG, ALLERGEN LABEL, OR NUTRITION ESTIMATE WILL BE SUITABLE OR ACCURATE FOR YOUR CIRCUMSTANCES.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you. Nothing in these Terms excludes rights that cannot lawfully be excluded.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF AKW AND THE OTHER AKW PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID AKW FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. These limitations apply only to the extent permitted by applicable law.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AKW and its affiliates, officers, directors, employees, licensors, and service providers from claims, liabilities, damages, and reasonable costs arising from your unlawful misuse of the Service, your violation of these Terms, or your infringement of another person's rights.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary to protect the Service or others, comply with law, or address a material violation of these Terms. Provisions that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and dispute provisions—will survive.

15. Governing law and forum

These Terms and your relationship with AKW are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any dispute arising from or relating to these Terms or the Service must be brought exclusively in the state or federal courts with jurisdiction in Brazos County, Texas, and you consent to their jurisdiction and venue. Either party may seek temporary or preliminary relief in any court of competent jurisdiction to prevent imminent harm.

16. Apple App Store terms

If you obtained Meal Simple through Apple's App Store, you acknowledge and agree that:

• these Terms are between you and AKW, not Apple, and AKW is responsible for Meal Simple and its content;
• your app license is limited to use on Apple-branded products you own or control as permitted by Apple's usage rules, including applicable Family Sharing or volume-purchasing rules;
• AKW, not Apple, is responsible for maintenance and support, and Apple has no obligation to provide them;
• if the app fails to conform to an applicable warranty that has not been effectively disclaimed, you may notify Apple for any remedy Apple makes available under its terms, and Apple has no other warranty obligation;
• AKW, not Apple, is responsible for addressing claims relating to the app, including product-liability, legal-compliance, consumer-protection, and intellectual-property claims;
• you are not located in a country subject to a U.S. Government embargo or designated as supporting terrorism, and you are not on a U.S. Government prohibited or restricted-party list;
• you will comply with applicable third-party terms when using the app; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions against you.

17. General terms

If a provision of these Terms is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without AKW's consent; AKW may assign them in connection with a merger, reorganization, asset transfer, or by operation of law. These Terms, the Privacy Policy, and any additional terms expressly presented with a feature form the entire agreement between you and AKW concerning the Service.
